Position Description

To support the growth of Carlson Rezidor and pursue its legal and business interests by providing broad-based legal advice and counsel to various corporate constituencies including, among others, Information Technology, Telecommunications, Sales, Distribution, and other Corporate Departments. This position will work on complex commercial transactions throughout the organization, specifically in IT. This position will also ensure timely provision of legal services in the areas of data privacy and security. Finally, the position will have supervisory responsibility.

Key Responsibilities

  • Provides advice on company strategies and new program initiatives
  • Ability to identify, analyze and resolve complex legal issues, draft and negotiate a variety of complex transactions and balance legal and business risk concerns with minimal supervision
  • Along with corporate legal team support, reviewing, drafting and negotiating a variety of contracts and legal documents, including software licenses, hosting agreements, IT services agreements, equipment leases and other related technology agreements, as well as sales, distribution and strategic partnership agreements such as online travel agency agreements, travel management company agreements, global distribution system agreements, preferred vendor agreements, meetings and event agreements, pay-per-click and ad referral agreements.   • Responsible for data privacy and security, including GDPR compliance
  • Provide management and operating personnel with timely and accurate interpretations of the various laws and regulations affecting Carlson Hotels’ businesses and keep them apprised of the types of action that require legal consideration
  • Provide legal advice concerning business transactions, including reviewing contracts with vendors and partners, performing due diligence and drafting and negotiating any applicable provisions
  • Serve as legal representative on various company data governance and privacy boards and councils.
  • Manage and assist clients with resolving all legal issues pertaining to privacy matters in a manner consistent with the company’s business philosophy and strategy, and in compliance with legal and regulatory requirements
  • Work with Information Technology to structure and negotiate data protection provisions in contracts with vendors and partners
  • Advise on issues around collecting, sharing and accessing personal information, marketing to customers and providing and honoring “opt-status” choices, inclusive of those regarding digital tracking
  • Assess contractual needs and requirements for security and data protection as they relate to online, mobile, and other emerging technologies
  • Draft and negotiate technology and cloud computing agreements, including partnering agreements, user agreements and terms of service, website development agreements, software licenses, privacy policies and related disclosures
  • Seek to improve job performance through self-assessment, skill development, training and goal setting
  • Work efficiently and effectively with outside counsel as appropriate
  • Perform miscellaneous job-related duties as assigned

Requirements/Skills

  • Law degree from an accredited law school
  • Bachelor's degree
  • 6+ years’ experience as an attorney with progressive levels of responsibility
  • Experience with complex commercial transactions, preferably technology based
  • Excellent oral and written communications skills
  • Ability to think strategically and to creatively solve problems
  • Ability to exercise excellent judgment and give practical and business oriented advice
    Diligent work style, detail oriented and ability to balance competing demands and manage multiple projects under deadlines, while providing solid and timely support
  • Desire to work both independently and as part of a team
  • Excellent interpersonal, verbal and written communication skills
